Advertising Management Agreement

1. What I do

I set up and manage Google's pay-per-lead advertising for Topline Electric. That means you are charged when somebody contacts you, not when somebody clicks.

Once, at the start: submit your business for Google's verification and handle the back and forth, build your advertising profile with your services, hours, coverage area and photos, and switch on messaging and online booking.

Every month: manage and adjust the campaign, send you a report on the leads that came in and what they turned into, send a missed-call summary, and keep after your Google reviews since those affect where you appear.

Adding Facebook or regular search ads later changes the monthly fee and we would both have to agree to it in writing first.

2. What you pay me

The setup fee is due when you sign. The monthly does not begin until your ads are actually running. You do not pay me a monthly fee while we are waiting on Google.

Your rate is locked for as long as you stay on it. If a payment fails and we cannot sort it within 10 days, I may pause the campaign.

3. What you pay Google

Your advertising budget is separate from my fee, and you pay it to Google directly on your own card.

I never hold, front, invoice or take a cut of your ad spend. I do not have access to your money. You can log in and see exactly what Google charged you, any time. That spend is your responsibility, including anything charged while the campaign is live.

4. Account ownership

Every advertising account and profile I set up is created in your name and stays yours. I hold manager access only.

If we stop working together I remove my access and everything stays exactly where it is. I will not withhold access, data or account control for any reason, including unpaid fees.

Two of these affect where you rank, directly.

• Answer leads quickly. Google factors your response time into where you appear. Missed and unreturned calls lower your position and your results.
• Get me the paperwork Google needs: licensing, insurance, and details for anyone who requires a background check.
• Tell me which leads turned into work, so the report can show jobs instead of call counts. A few minutes a month.
• Keep your own compliance in order. You are responsible for holding the licenses, registrations and insurance your trade requires, and for the accuracy of any claim, price or offer I publish for you. Tell me about any registration number Pennsylvania requires on advertising.

7. Term and cancellation

Month to month. Either of us can end this with 30 days written notice, by email, for any reason or none. No cancellation fee, no minimum term.

Fees already paid for work already done are not refunded. If you cancel, I run the campaign through the end of the period you have paid for, then remove my access.

I may end it immediately if I am asked to run advertising that is false, misleading, or against Google's policy or the law.

8. If Google will not approve you

If Google declines your verification and you cannot advertise, I will either put your setup fee toward a different advertising channel or refund it, whichever you prefer. That is the full extent of what is owed in that situation.

9. Liability

My total liability under this agreement is limited to the fees you paid me in the three months before a claim. I am not liable for lost profits, lost business, or advertising spend charged by Google.

10. Confidentiality

I keep your business information, customer data and lead records confidential and use them only to run your advertising. I may mention Topline Electric as a client and describe results in general terms, unless you tell me in writing not to.

11. General

This is the whole agreement between us on advertising and replaces anything said beforehand. Changes have to be in writing and agreed by both of us. This agreement is governed by the laws of the State of Tennessee.
